Spirit Filled Faith - Affiliate Agreement and Terms of Service

1. Introduction

This Agreement sets out the terms and conditions under which individuals ("Affiliates") may participate in the Spirit Filled Faith Affiliate Program. By joining and participating in this program, Affiliates agree to use their best efforts to honorably promote and sell Spirit Filled Faith products and services, including:

  • Spirit Filled Faith Community memberships
  • Faith-First Business Training and other digital courses
  • Digital products (ebooks, guides, devotional resources)
  • Anchored (devotional book) and other published works
  • Faith & Focus Retreat tickets and event bookings
  • Any other product or service made available through the affiliate dashboard

Spirit Filled Faith is operated by HodgesNet Ltd (company number 7727802). References to "we", "us", and "our" mean HodgesNet Ltd trading as Spirit Filled Faith.

2. Commission Structure

Commission details: All commission rates for different products and services are detailed within the affiliate dashboard. Commissions may vary based on:

  • The type and nature of the product or service sold
  • Whether the commission is on a single purchase, split-payment, or recurring subscription
  • Any time-limited promotional rates we may offer

Clearance period: All commissions are subject to a clearance period before becoming payable.

The 30-day clearance period begins 30 days after the customer's payment date, giving a minimum of 60 days from sale to commission becoming payable. This window protects against refunds (including under our 14-day money-back guarantee), chargebacks, and disputes.

Payout schedule: Cleared commissions are paid manually on the 14th of each month, covering any commissions that have fully cleared by the end of the previous month. Commissions that clear after the cut-off will roll into the following month's payout.

Payment method: Payments are made by PayPal only, using the PayPal email address registered in your affiliate account. It is your responsibility to keep this email accurate and up to date. Failed or returned payments caused by incorrect PayPal details will be held until corrected, and you should notify us as soon as possible to update your account.

Tax responsibility: Affiliates are responsible for declaring affiliate income and paying any applicable tax in their own jurisdiction. We do not deduct tax at source.

3. Marketing and Promotion

Use of brand and trademarks:

Affiliates are permitted to use the Spirit Filled Faith name, Ant Hodges name, and specific product names in their marketing materials.

Bidding on these brand terms for paid advertising (Google Ads, Meta Ads, etc.) is strictly prohibited and will result in withheld commissions and possible termination of your affiliate account.

Promotion at live events:

Affiliates may promote Spirit Filled Faith products and services at live events (online or in person) provided they follow any specific promotional messaging we share in advance. Notification of promotional conversations and event-specific messaging will be sent ahead of any event.

Faith-aligned promotion:

Because Spirit Filled Faith is a faith-based brand serving Christian business owners and entrepreneurs, we ask that all promotion reflects the values we hold:

  • Be honest about what the product or service does and does not deliver
  • Do not promise specific spiritual, financial, or business outcomes from any purchase
  • Do not use manipulation, guilt, urgency tactics, or misuse of scripture to drive sales
  • Represent the brand in a way that honors Christ and respects your audience
  • Make accurate, truthful claims at all times

Required disclosure:

A clear affiliate disclosure must be made on all affiliate promotions. As a minimum, this should state:

"As an affiliate, I receive compensation for the promotion of this offer should you choose to buy from Spirit Filled Faith."

This applies to social media posts, emails, blog posts, podcasts, videos, and any other promotional content.

Non-qualifying commissions:

A commission will be treated as non-qualifying (and therefore not paid) where:

  • The sale has been part of an internal process where the customer has attended sales presentations, coaching, consultancy, or other one-to-one services with Spirit Filled Faith or Ant Hodges
  • The Affiliate uses their own affiliate link or partner promotional code to purchase products for themselves (self-referrals)
  • The sale has been generated through spam, misleading claims, paid brand-bidding, incentivised clicks, or other prohibited methods
  • The customer requests and is granted a refund within the clearance period
  • The sale is determined by us to be fraudulent or made in bad faith

Compliance:

Affiliates are responsible for ensuring all promotional activities follow legal and regulatory requirements, including:

  • UK GDPR and other data protection laws
  • ASA (Advertising Standards Authority) rules
  • FTC disclosure rules where applicable to your audience
  • Consumer protection rules in your own and the customer's jurisdiction

4. Legal and Regulatory Compliance

Affiliates must comply with all applicable laws and regulations. Affiliates are solely responsible for their advertising and promotional activities and agree to indemnify Spirit Filled Faith and HodgesNet Ltd against any claims or legal action arising from their promotions.

5. Dispute Resolution and Grievances

Reporting issues: Affiliates should report any grievances or disagreements via email to team@spiritfilledfaith.com.

Termination for misuse: Any misuse of the affiliate program, breach of this agreement, or action that negatively impacts the Spirit Filled Faith brand will result in immediate termination of the affiliate agreement. In such cases, any unpaid commissions will be withheld.

Final decisions: Spirit Filled Faith reserves the right to make final decisions in all disputes.

6. Termination

This agreement may be terminated by either party with written notice via email.

On termination:

  • All outstanding cleared commissions will be paid in the next scheduled payout cycle, provided your account is in good standing
  • If termination is due to breach of these terms, all unpaid commissions will be forfeited
  • You must immediately remove any Spirit Filled Faith branding, affiliate links, and promotional content from your channels
  • Continued use of affiliate links after termination is prohibited

Spirit Filled Faith reserves the right to discontinue the affiliate program at any time. Where this happens, all cleared commissions earned up to that point will be paid in the normal way.

7. Modification of Terms

Spirit Filled Faith reserves the right to modify any terms and conditions within this agreement at any time and at our sole discretion. This includes:

  • Commission rates and structures
  • Payout schedules and methods
  • Clearance periods
  • Promotional rules
  • Any other term of this agreement

Affiliates will be notified by email of any significant changes. Continued participation in the program after notification will constitute acceptance of the changes.

8. Limitation of Liability

Spirit Filled Faith and HodgesNet Ltd will not be liable for any indirect, incidental, special, or consequential damages, including any loss of revenue, profits, or business opportunity, arising from or related to this agreement or the program, even if we have been advised of the possibility of such damages.

Nothing in these terms limits our liability for death, personal injury caused by our negligence, fraud, or anything else that cannot be excluded under UK law.

9. Relationship of Parties

Affiliates are independent contractors. Nothing in this agreement creates a partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Spirit Filled Faith or HodgesNet Ltd.

Affiliates have no authority to make or accept any offers, representations, warranties, or commitments on behalf of Spirit Filled Faith or HodgesNet Ltd.

10. Confidentiality

All information related to Spirit Filled Faith's business, its customers, plans, marketing strategies, products, and services that is not publicly known is considered confidential. Affiliates must not disclose such information to any third parties.

Confidential information may include advance notice of promotions, launches, pricing changes, and other commercially sensitive matters shared with you to help you prepare campaigns. This information must not be shared, leaked, or used outside the affiliate relationship.

11. Intellectual Property

All intellectual property rights relating to Spirit Filled Faith products, services, marketing materials, branding, content, and logos are the sole property of HodgesNet Ltd.

Affiliates are granted a limited, non-exclusive, non-transferable right to use this intellectual property solely for the purpose of promoting Spirit Filled Faith products and services in line with this agreement.

Use of Spirit Filled Faith intellectual property to train, fine-tune, or develop any AI model is prohibited.

12. Representations and Warranties

Affiliates represent and warrant that they will:

  • Conduct themselves in a manner that reflects favorably on the products, services, goodwill, and reputation of Spirit Filled Faith at all times
  • Not engage in any activity that could be construed as harassment, deception, or harm to potential or existing customers
  • Honor the faith-based values of the brand in all promotional activity (see Section 3)
  • Comply fully with this agreement and all applicable laws

13. Indemnification

Affiliates agree to indemnify, defend, and hold harmless Spirit Filled Faith, HodgesNet Ltd, and their respective officers, directors, employees, agents, successors, and assigns from any and all losses, damages, liabilities, claims, actions, settlements, costs, or expenses (including legal fees) arising from or relating to any act or omission of the Affiliate in connection with their participation in this program.

14. Governing Law

This agreement is governed by and construed in accordance with the laws of England and Wales. Any dispute will be handled by the courts of England and Wales.

15. Entire Agreement

This document, together with any commission rates and rules published in the affiliate dashboard, constitutes the entire agreement between Spirit Filled Faith and the Affiliate. It supersedes all prior or contemporaneous agreements, representations, warranties, and understandings with respect to the Spirit Filled Faith Affiliate Program.
